The Role:

We are seeking an Assistant Company Secretary to join our Secretariat team on a 12-month fixed-term contract. This role will primarily support the Society Secretary and contribute to maintaining best practice in corporate governance at Nationwide. The role will involve advising the Board and Executive on a broad range of matters to help them fulfil their duties, compliance obligations, and strategic objectives.

As an Assistant Company Secretary, you will play a key role in shaping corporate governance and supporting Board Committees. You will be the Secretary to the Board Risk Committee, Group Risk Committee, and Executive Risk Committee, and contribute to the successful delivery of the Society’s AGM 2025.

What You’ll Be Doing:

  • Provide Company Secretarial Services: Assist the Society Secretary in delivering a professional, ‘best in class’ secretarial service to the Board, Committees, and subsidiary undertakings.
  • Governance Standards: Advise on and help implement governance standards, ensuring that best practices in corporate governance are adhered to across the Society.
  • Lead AGM 2025 Delivery: Assist in leading the delivery of the Society’s AGM in 2025, including all the key governance processes surrounding the meeting.
  • Support Risk Committees: Serve as the Secretary to the Board Risk Committee, Group Risk Committee, and Executive Risk Committee, ensuring effective operation and governance.
  • Compliance and Legal Duties: Ensure that the Society’s governance framework aligns with relevant regulatory requirements, especially in the context of financial services and listed companies.
  • Develop and Implement Policies: Help develop policies, procedures, and frameworks to enhance the Society’s corporate governance, and ensure that all regulatory and compliance obligations are met.

About You:

To succeed in this role, you should bring the following:

  • Professional Qualification: You should be a Chartered Secretary and Governance Professional (ACG or above) or hold an equivalent legal qualification such as solicitor or chartered accountant. If you’re working towards this qualification, you should be able to complete it within a reasonable timeframe.
  • Practical Governance Experience: You will need a strong practical knowledge of company law, corporate governance, and secretarial practice, ideally gained within the financial services sector.
  • Regulatory Knowledge: You should have knowledge of regulatory requirements applicable to listed companies, particularly in relation to governance, compliance, and reporting.
  • Minute Taking and Committee Support: Experience with minute-taking at the Board or ExCo level is crucial. Knowledge of shareholder/member relations and experience in delivering AGMs is also desirable.
  • Strong Relationship Management: The role requires excellent relationship-building skills with the ability to influence and collaborate at a senior level.
  • Excellent Communication Skills: You should have outstanding oral and written communication skills, with the ability to tailor your communication to different audiences.
  • IT Proficiency: A working knowledge of board portal software, as well as common business tools such as Outlook, Word, and Excel, is essential.
  • Experience with Risk Committees: Experience in working with Risk Committees and supporting governance around director appointment processes, succession planning, and induction planning is advantageous.
  • Understanding of Senior Manager and Certification Regime (SM&CR): A good understanding of the SM&CR and governance around director appointments will be beneficial.
